The terms and conditions governing your access to and use of SaaS Direct Technologies web properties and services.

By accessing or using any SaaS Direct website, you agree to these Terms of Use. If you are acting on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms. Please read them carefully before continuing.

These Terms of Use (“Terms”) constitute a legally binding agreement between you and SaaS Direct Technologies, Inc. (“SaaS Direct,” “we,” “us,” or “our”) governing your access to and use of the Sites and any content, features, or services made available through them.

By accessing or using any of the Sites, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy which is incorporated herein by reference. If you do not agree, you must not use the Sites.

These Terms apply to all visitors, prospective clients, existing clients, partner firms, and any other persons who access the Sites. If you are accessing the Sites on behalf of a business or organization, you represent and warrant that you have authority to bind that entity to these Terms.

SaaS Direct Technologies, Inc. is a professional services firm providing financial system migration services, technology advisory, operational and reporting solutions, ERP consulting, and related services for growing businesses and accounting firms. We serve clients in the United States and Canada and operate the following web properties:

Content on these Sites is informational in nature and describes our services, professional capabilities, and industry perspective. Nothing on the Sites constitutes legal, tax, financial, or accounting advice unless explicitly delivered as part of a signed professional services engagement.

Use of the Sites

Permitted Use

You may use the Sites for lawful purposes and in accordance with these Terms. Permitted uses include:

• Browsing information about SaaS Direct services and capabilities
• Submitting contact or consultation request forms
• Accessing publicly available resources such as blog posts, whitepapers, and webinar content
• Using the secure file upload portal for purposes directly related to your engagement with SaaS Direct

Prohibited Conduct

You agree not to:

• Use the Sites for any unlawful purpose or in violation of any applicable federal, state, provincial, or local law or regulation
• Reproduce, distribute, modify, create derivative works from, or commercially exploit any content on the Sites without our prior written consent
• Attempt to gain unauthorized access to any portion of the Sites, related systems, servers, or databases
• Introduce viruses, malware, ransomware, or any other malicious code to the Sites or our infrastructure
• Use automated tools, bots, scrapers, or crawlers to extract data from the Sites without prior written authorization
• Impersonate SaaS Direct, its employees, partners, or any other person or entity
• Send unsolicited commercial communications (spam) through the Sites
• Interfere with or disrupt the integrity or performance of the Sites
• Harvest, collect, or store personal information of other users without their consent

Intellectual Property

All content on the Sites — including text, graphics, logos, service descriptions, methodology documentation, case study frameworks, blog posts, whitepapers, design elements, and software — is the exclusive property of SaaS Direct Technologies, Inc. or its licensors and is protected by United States and Canadian copyright, trademark, and other applicable intellectual property laws.

Third-party marks: QuickBooks and Intuit, NetSuite, Sage, Microsoft Dynamics, and related brand marks are the property of their respective owners. SaaS Direct's reference to these marks does not imply affiliation, endorsement, or sponsorship beyond any disclosed partner or solution provider relationship.

You may not use, copy, reproduce, republish, upload, post, transmit, or distribute any content from the Sites without our express prior written consent, except for your personal, non-commercial informational use with all copyright and proprietary notices intact.

Professional Services & Engagement Terms

The information on the Sites describes SaaS Direct’s general service capabilities. Actual engagement of our professional services — including data migrations, advisory projects, technology implementations, or outsourced support — is governed solely by a separate written agreement, Statement of Work, or professional services contract executed between SaaS Direct and the client.

No client relationship is formed through the Sites. Submitting a contact form, scheduling a pre-discovery call, exchanging emails, or participating in any preliminary conversation does not create a client relationship, engagement agreement, or duty of care between you and SaaS Direct. No professional obligations arise until a written agreement is fully executed by both parties.

Nothing on the Sites shall constitute an offer to contract, a guarantee of results, or a representation that any specific outcome will be achieved. Project scope, deliverables, timelines, and fees are defined exclusively within executed client agreements. Any estimates, timelines, or cost ranges discussed during pre-engagement conversations are indicative only and are not binding.

White-Label & Co-Delivery Arrangements

SaaS Direct operates in a white-label and co-delivery capacity for certain accounting, advisory, and technology firms. Under these arrangements, SaaS Direct may deliver services to end clients on behalf of a referring or co-delivering firm without direct contractual privity with the end client. In such cases:

• The referring or co-delivering firm remains the primary relationship holder with the end client
• SaaS Direct’s obligations run to the referring firm under the terms of their agreement, not directly to the end client
• End clients interacting with SaaS Direct personnel in a co-delivery context should direct contractual or billing matters to the referring firm
• These Terms continue to govern your use of the Sites regardless of the engagement structure

Secure File Upload & Data Transmission

SaaS Direct provides a secure file upload portal for use by clients and prospective clients in connection with active or potential engagements. By uploading files or data through this portal, you represent and warrant that:

• You have the legal right and authority to transmit the data and files uploaded
• The data does not contain information subject to legal hold, regulatory restriction, or confidentiality obligations that would prohibit its transmission to SaaS Direct
• You have complied with all applicable privacy and data protection laws in connection with the transmission, including obtaining any necessary consents

SaaS Direct will treat all data and files transmitted through the secure portal as confidential and will use it solely in connection with the relevant professional engagement. We implement industry-standard security measures for all transmitted data.

International processing notice: Data and files submitted through this portal may be accessed or processed by SaaS Direct personnel or subcontractors located outside your country of residence, including offshore locations. By uploading files, you acknowledge this possibility. Disclaimer of Warranties

The Sites and all content, information, and materials provided thereon are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, SaaS Direct expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or course of performance.

SaaS Direct does not warrant that: (a) the Sites will be uninterrupted, error-free, or secure; (b) defects will be corrected; (c) the Sites or the servers making them available are free of viruses or other harmful components; or (d) the information on the Sites is complete, accurate, current, or reliable.

General information on the Sites regarding software platforms (QuickBooks, NetSuite, Sage, Microsoft Dynamics, etc.) is provided for informational purposes only and may not reflect the most current product features, pricing, or licensing terms. You should verify current details directly with the respective software provider.

Limitation of Liability

To the maximum extent permitted by applicable law, SaaS Direct Technologies, Inc., its officers, directors, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of or inability to use the Sites or any content thereon, even if SaaS Direct has been advised of the possibility of such damages.

In no event shall SaaS Direct’s total liability to you for all claims arising from your use of the Sites exceed one hundred U.S. dollars (US $100.00). This limitation applies regardless of the form of action, whether in contract, tort, strict liability, or otherwise.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. If you are accessing the Sites from such a jurisdiction, some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless SaaS Direct Technologies, Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Sites in violation of these Terms
• Your violation of any applicable law or third-party right
• Any content you submit through the Sites, including file uploads

The Sites may contain links to third-party websites, partner platforms, software vendor documentation, or other external resources. These links are provided for convenience only. SaaS Direct does not control, endorse, or assume responsibility for the content, privacy practices, or availability of any third-party sites. Your access to and use of linked third-party sites is governed by the terms and policies of those sites.

Submissions & User-Provided Information

Any information, feedback, suggestions, ideas, or other materials you submit to SaaS Direct through the Sites (other than personal information governed by our Privacy Policy) is provided on a non-confidential basis. By submitting such information, you grant SaaS Direct a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, and incorporate such information for any business purpose without restriction or compensation to you.

You represent that any content you submit does not infringe any third-party intellectual property rights, is not defamatory or unlawful, and does not contain malicious code or unauthorized personal data of third parties.

Governing Law & Jurisdiction

Canada

For saasdirect.ca, these Terms are additionally governed by the laws of the Province of Ontario and applicable federal laws of Canada. You consent to the non-exclusive jurisdiction of the courts of Ontario for resolution of disputes arising from Canadian operations.

Dispute Resolution

SaaS Direct encourages resolution of disputes through direct communication. Prior to initiating formal legal proceedings, either party agrees to notify the other in writing and allow thirty (30) days to attempt good-faith resolution.

Modifications to These Terms

SaaS Direct reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated “Last Updated” date. For material changes, we may provide additional notice via the Sites or by email. Your continued use of the Sites following the posting of changes constitutes your acceptance of the updated Terms.

We recommend reviewing these Terms periodically. If you do not agree to any modification, your sole remedy is to discontinue use of the Sites.

Termination

SaaS Direct reserves the right, in its sole discretion, to suspend or terminate your access to all or any part of the Sites at any time, with or without cause or notice. Upon termination, all rights granted to you under these Terms will cease.

Accessibility

SaaS Direct is committed to making its Sites accessible to all users, including those with disabilities. We strive to comply with applicable web accessibility standards. If you experience difficulty accessing any portion of our Sites or require assistance, please contact us and we will make reasonable efforts to accommodate your needs.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable executed professional services agreement, constitute the entire agreement between you and SaaS Direct with respect to your use of the Sites and supersede all prior understandings, representations, or agreements relating thereto.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. SaaS Direct’s failure to enforce any provision of these Terms shall not be deemed a waiver of that provision.
